The extinction of an autonomous center of imputation of legal relationships, such as a corporation or a company, involves the delicate issue of the definition of the obligations not fully fulfilled. Under Italian tax law, the introduction of a rule, in order to establish an enduring liability in favour of the tax authorities, does not entail any real help for them. Chasing the company once it has been delisted from the Register of Companies with assessment, collection and litigation activities for five years may be totally unsuccessful, and even focuses the attention of the tax authorities on a subject that will reveal itself insolvent, thus distracting the tax authorities from carrying out actions certainly more effective towards shareholders. Anyhow, the recovery actions of the tax credit should be made earlier and not when the entity is already dissolved.

L’estinzione di un centro autonomo di imputazione di rapporti giuridici, quale è la società, pone nell’ordinamento la delicata questione della definizione dei rapporti non compiutamente eseguiti. In ambito tributario aver introdotto una disciplina finalizzata a sancire una responsabilità più duratura a favore degli enti impositori non si rivela di alcun concreto ausilio per essi. Inseguire la società estinta per cinque anni in sede di accertamento, di riscossione e di contenzioso appare del tutto infruttuoso, ed anzi comporta di mantenere l’attenzione del creditore su un soggetto che si rivelerà insolvente, distraendo così il titolare del credito tributario dal compimento di azioni sicuramente più efficaci nei confronti dei soci. In ogni modo, le attività di recupero del credito tributario dovrebbero essere compiute più tempestivamente e non quando il soggetto societario è ormai disciolto.

L’estinzione di un centro autonomo di imputazione di rapporti giuridici, quale è la società, pone nell’ordinamento la delicata questione della definizione dei rapporti non compiutamente eseguiti.
