The essay deals with the issues related to the inclusion of sustainability clauses in contracts and articles of association. The broad national and European recognition of the principle of sustainable development and the establishment of its normative corollaries amplifies the effects of the sustainability paradigm in the area of private autonomy. In the light of an increasingly well-defined and comprehensive regulatory framework, the paper examines the various types of sustainability clauses, attempting to draw up an initial classification. The analysis is carried out both on the functional and structural level of the clauses and on their application. The results of the research lead to a primary distinction between so-called contractual sustainability clauses and so-called statutory sustainability clauses. Within the two macro-categories, the essay aims to provide evaluative criteria for a more accurate distinction. Finally, the classification thus proposed raises questions on the nature of the clauses and the consequences of their non-fulfilment under the European regulatory framework.
Il saggio affronta le problematiche connesse all’inserimento di clausole di sostenibilità nei contratti e negli atti statutari. Il riconoscimento su larga scala, nazionale ed europea, del principio di sviluppo sostenibile e l’affermazione dei suoi corollari normativi amplifica gli effetti del paradigma della sostenibilità nell’area dell’autonomia privata. Alla luce di una cornice regolatoria sempre più definita e capillare, l’elaborato esamina le varie tipologie di clausole di sostenibilità, provando ad elaborare una prima classificazione. L’analisi è compiuta sia sul piano funzionale e strutturale delle clausole sia sul piano applicativo. Gli esiti della ricerca conducono ad una primaria ripartizione: clausole di sostenibilità c.d. contrattuali e clausole di sostenibilità c.d. statutarie. All’interno delle due macrocategorie, il saggio mira a fornire i criteri valutativi per una distinzione più accurata. Infine, la classificazione così proposta enuclea interrogativi sulla natura delle clausole e sulle conseguenze derivanti da un loro inadempimento, in virtù del quadro normativo europeo.
