La lista del consiglio: realtà, riti e miti

This is the paper presented at the conference on Competitività dei capitali e riforma del Testo Unico della Finanza (Courmayeur, 20-21 September 2024). In the first part, the focus will be paid on why the so-called “board’s slate” or “board’s list” has been increasingly successful in Italy to date. In the second part, are outlined the reasons why the new rules contained in Art. 147-ter.1 t.u.f. will lead to its inexorable decline. In the third part, given the practical impossibility of recourse to the board of directors list, areas in which other solutions could prevail are suggested. Following the discussion, it will be recommended the adoption of an alternative model of nomination committee, which foresees the one widely used in Scandinavian countries and suggested by local corporate governance codes.
