The contribution offers a reflection on the evolution of the traditional pledge, within the Italian legal system which, starting from the new forms of “non-possessory pledge”, revolving pledge, and floating pledge, establishes itself as a type of pledge aimed at the structural multiplicity that directly derives from its functional origin. This form is more aligned, also in terms of efficiency, with the requirements that economic practice demands in security models. The prevailing trend is to protect the creditor who, through the establishment of the non-possessory pledge, identifies an estate (one or more assets) that, despite its dynamic nature, whether tangible or intangible, is managed in an economically efficient manner so as to preserve (if not increase) its value for as long as the guarantee remains in effect.Despite a lively cultural debate, legal doctrine has not managed to unsettle the essentially fixed nature of the relevant codified provisions, while harshly criticizing their rigidity. It is only through private autonomy, by means of innovative contractual frameworks, that new paths have been explored, contributing to the development of more functional solutions.
Il contributo propone una riflessione sull’evoluzione della tradizionale fattispecie di pegno nell’ordinamento italiano che, partendo dalle nuove figure di “pegno non possessorio”, rotativo e fluttuante, si configura quale figura di pegno vocata alla molteplicità strutturale che origina direttamente da quella funzionale. Una figura più conforme, anche in termini di efficienza, alle esigenze che la prassi economica invoca in termini di modelli di garanzia. La tendenza che si rileva è quella di tutelare il creditore che, con la costituzione del pegno non possessorio, individua un patrimonio (uno o più beni) che, pur nella sua dimensione dinamica, materiale e immateriale, sia oggetto di una gestione economicamente efficiente talché possa conservare (se non accrescere) il valore finché dura il vincolo di garanzia. Pur in presenza di un vivace dibattito culturale, la dottrina non è riuscita a scalfire la sostanziale fissità delle disposizioni codicistiche di riferimento, pur criticandone aspramente la rigidità. È soltanto l’autonomia privata che, tramite schemi negoziali innovativi, ha esplorato nuove strade concorrendo allo sviluppo di soluzioni più funzionali.
