These remarks, presented by the Author at the conclusion of the second session of the Con-ference, revolve around the question of whether the apparent decline in investor protection under the regulations governing newly listed issuers can be offset by other legal mechanisms such as the prospectus liability, standards of corporate law (fairness, good faith), and the role of independent directors. The author also emphasizes the importance, from the perspec-tive of the shareholder as an investor, of a liquid market for their interests, and the desira-bility, from the perspective of the shareholder as a member of the company, of rethinking the functions of the shareholders’ meeting.
